Terms of Service

These Terms of Service ("Terms") govern your access to and use of Legentic Global Inc.'s ("Legentic", "we", "us", or "our") omnichannel customer communications software, automated AI representatives, Live Inbox interface, APIs, and associated services (collectively, the "Service").

1. Acceptance of Terms & Account Responsibility

By creating a workspace account, connecting messaging channels (WhatsApp Business, Instagram Direct, Facebook Messenger, or website widgets), or accessing the Service, you represent that you have the legal authority to bind your organization to these Terms and our Privacy Policy. You are solely responsible for maintaining the confidentiality of your workspace credentials and for all activities conducted under your workspace accounts.

2. Platform Services & Supervised Autonomy

Legentic provides AI-powered, human-led communications software. Automated responses are generated based on knowledge base documents, catalogs, pricing sheets, and rules provided by you. While Legentic employs deterministic retrieval and strict anti-hallucination guardrails:

  • You retain sole operational oversight over all automated workflows and uploaded documentation.
  • You are provided with real-time Live Inbox visibility and 1-click human takeover tools to supervise, pause, or override automated responses at any time.
  • Legentic does not provide medical, legal, or formal financial advice. In regulated verticals, Legentic functions solely as an administrative qualification and scheduling tool.

3. Messaging Policies & Acceptable Use

You agree to use the Service in strict compliance with all applicable local and international telecommunications laws, data privacy standards, and third-party channel platform guidelines (including the Meta Platform Terms, WhatsApp Business Messaging Policy, and CTIA/TCPA guidelines):

  • No Unsolicited Spam: You must strictly obtain appropriate user consent prior to initiating outbound messaging campaigns where required by law.
  • Prohibited Content: You will not transmit fraudulent, defamatory, deceptive, sexually explicit, or infringing content.
  • Respect for Opt-Outs: You must promptly honor customer unsubscribe, opt-out, or data deletion requests.

4. Subscriptions, Billing & Cancellation

Free Trial: New workspaces receive a 14-day free trial. No credit card is required to initiate a trial. Upon expiration, access to automated features pauses unless a paid subscription tier is activated.

Cancel Anytime: Subscriptions are billed in advance on a recurring monthly or annual basis. You may cancel your subscription at any time directly through your workspace billing dashboard. Cancellations take effect at the conclusion of the current prepaid billing period. Pre-paid subscription fees are non-refundable, except where required by applicable law.

Meta Direct Fees: Any fees charged directly by third-party platforms (such as Meta WhatsApp Business conversation tier fees exceeding free allocations) are the direct responsibility of your organization and billed by Meta.

5. Service Level Commitments & Uptime Disclaimers

For eligible Scale and Enterprise tiers, Legentic targets a 99.9% application uptime commitment, excluding scheduled maintenance windows and downstream outages caused by third-party network providers or Meta Cloud API platform service disruptions.

6. Limitation of Liability & Warranty Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." LEGENTIC GLOBAL INC. EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL LEGENTIC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR REVENUE) ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. LEGENTIC'S AGGREGATE TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO LEGENTIC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

7. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any dispute arising from these Terms shall be resolved via binding individual arbitration administered by the American Arbitration Association (AAA), and both parties agree to waive any right to participate in a class-action lawsuit.
